1. Acceptance of Terms

Welcome to MetaFleet. These Terms of Service ("Terms") govern your access to and use of the MetaFleet platform, including our website, mobile applications, and all related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and MetaFleet, Inc. ("Company," "we," "our," or "us"). By accessing, using, or registering for our Services, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference.

If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

MetaFleet provides an AI-powered platform that connects dispatchers, technicians, and fleet operators to facilitate emergency repairs, reduce downtime, prevent errors, and improve repairs in real time.

Core Services Include:

  • Emergency dispatch management and routing
  • Real-time repair process tracking and documentation
  • Location-based technician deployment
  • Automated invoicing and payment processing
  • Multi-party communication tools and notifications
  • Fleet and vehicle management capabilities
  • Integration with third-party systems and databases

Service Modifications

We reserve the right to modify, update, enhance, or discontinue any aspect of the Services at any time, with or without notice. We may introduce new features, remove existing features, or change functionality to improve user experience or comply with legal requirements.


Emergency Nature Disclaimer

While our Services are designed to facilitate emergency repairs, we do not guarantee response times, repair quality, or availability of technicians. Users remain solely responsible for ensuring adequate backup plans and emergency procedures.

3. Data Practices

3.1 Information We Collect

We collect business, account, and usage information as described in our Privacy Policy. This may include company, employee, and operational data, communications, and technical/usage analytics.


3.2 Data Ownership

You retain ownership of your business and operational data (“Customer Data”). MetaFleet does not claim ownership of Customer Data. We process Customer Data solely to provide and improve our Services.


3.3 Data Security

We implement commercially reasonable technical, organizational, and administrative safeguards (including encryption in transit and at rest, access controls, and logging) to protect data from unauthorized access, disclosure, or loss. However, no system is completely secure, and we cannot guarantee absolute protection.


3.4 Security Incidents

In the event of a confirmed security incident involving Customer Data, MetaFleet will notify affected customers without undue delay (and within the timeframes required by law) and provide reasonable cooperation for remediation.


3.5 Sub-Processors and Affiliates

MetaFleet may engage affiliates or third-party service providers (“Sub-Processors”) such as AWS, Twilio, GravityAI, and Stripe to deliver the Services. We remain responsible for their performance and require adherence to comparable data protection standards.


3.6 Cross-Border Data Transfers

Your data may be stored and processed in countries outside your jurisdiction. Where required by law, we apply appropriate safeguards, such as Standard Contractual Clauses, to ensure compliant transfer and protection.

3.7 Data Retention

We retain data only as long as necessary to provide the Services, meet legal obligations, or resolve disputes. Upon termination, data may be deleted or anonymized according to our retention policy.

4. Third-Party Services

Our Services rely on third-party providers including but not limited to:

  • AWS Services (cloud hosting and infrastructure)
  • GravityAI (artificial intelligence processing)
  • Twilio (communications and messaging)
  • Stripe (payment processing)
  • FleetNet (fleet management integration)

We are not responsible for:

  • Errors, delays, or outages caused by third-party services
  • Changes to third-party terms or pricing
  • Third-party data breaches or security incidents
  • Integration failures or compatibility issues

5. Subscription and Payments

5.1 Fees and Payment Terms

You agree to pay all applicable fees for your subscription according to the pricing and payment terms presented during signup or in your Order Form.


5.2 Payment Authorization

You authorize MetaFleet (via Stripe or designated processor) to charge your selected payment method for subscription fees, usage charges, taxes, and late fees as applicable.


5.3 Subscription Term & Renewal

Each subscription has a defined start and end date as set forth in the applicable Order Form or Proposal. Unless otherwise agreed, subscriptions automatically renew for successive periods equal in length to the initial Subscription Term unless either party provides written notice of non-renewal at least 60 days before the current term ends.


5.4 Billing Cadence

MetaFleet's Services rely on third-party infrastructure and AI systems. While typical usage is included in your plan, unusually high or abusive resource consumption (e.g., excessive SMS messaging, API calls, or AI model requests) may impact system performance. MetaFleet may monitor usage and, at its discretion, throttle, limit, or recontract with notice to maintain fair service for all customers.


5.5 Fair Use and Resource Management

Fees for each Subscription Term are contractually committed in full but may be invoiced on an annual, quarterly, or monthly schedule as set forth in the Order Form. Customer's selection of billing cadence does not shorten or reduce the total Subscription Term commitment.


5.6 Fee Changes

We may change fees with at least 30 days' notice.


5.7 Late Payments and Suspension

Accounts overdue by more than 30 days may be suspended. Late payments may incur fees or interest as permitted by law


5.8 Taxes

All fees are exclusive of taxes, duties, and assessments. You are responsible for all applicable taxes except those based on our net income.


5.9 Refund Policy

All fees are billed in advance and are non-refundable except where expressly stated or required by law.


We continuously monitor usage to maintain system performance and fairness across all customers. If your usage materially exceeds reasonable thresholds, we may, at our discretion:

  • Throttle or limit certain features or functions to maintain service stability;
  • Notify you of the overage and offer to recontract or adjust pricing;
  • Suspend or modify access to high-cost features pending resolution;

6. Service availability

MetaFleet aims for continuous uptime but does not guarantee uninterrupted or error-free access. Maintenance, upgrades, and third-party outages may temporarily affect availability of technicians or repair services.


We may perform scheduled maintenance that temporarily limits access. We will provide reasonable advance notice when possible.

7. Account Registration

You must provide accurate, current information during registration and maintain your account credentials securely. You are responsible for all activities conducted under your account.


We may verify your business information and may suspend accounts that cannot be verified.

8. Beta Features and AI Use

Some features, including AI-powered tools, may be offered in beta or experimental stages. AI outputs may be incomplete or inaccurate. You are responsible for validating AI-generated content before use.

9. User responsibilities

You are solely responsible for your conduct and compliance with applicable state, and federal laws, regulations, and tax obligations in connection with your use of the Services. This includes but is not limited to:

  • Providing accurate and lawful business information during account setup.
  • Configuring your tax settings and invoices according to your local jurisdiction.

MetaFleet is not responsible for your failure to meet legal or regulatory obligations. You agree that any legal liability arising from your use of the Services remains your sole responsibility.

MetaFleet is not liable for any claims, fines, penalties, damages, or losses arising from your use of the messaging features, including but not limited to failures to obtain proper consent, violations of carrier rules, or regulatory enforcement actions.

10. Messaging and Consent

Our Services may allow you to send SMS, email, or other electronic communications (“Messages”) to your customers. You are solely responsible for ensuring that you have obtained all necessary rights, permissions, and legally valid consents from your customers before sending any Messages through the Services.


By using the messaging features of our Services, you agree that:

  • Consent:You will only send Messages to individuals who have expressly agreed to receive them in the manner required by applicable law (including, where applicable, the U.S. Telephone Consumer Protection Act, CAN-SPAM Act, and A2P/toll-free messaging rules).
  • Consent Tracking:You are responsible for configuring and maintaining accurate records of customer consent within your account under each individual customer, including use of any consent tracking tools or toggles provided in the Services.
  • Message Content: Messages may include, but are not limited to, status updates about Service Order requests, scheduling notifications, and related operational communications. All outbound messages must clearly identify your business name or brand. You are solely responsible for the content of any Messages sent via the Services.
  • Frequency & Disclosures: Message frequency may vary depending on Service Orders and account activity. Standard message and data rates may apply.
  • Help/Opt-Out: Recipients must be able to text HELP to receive assistance and STOP at any time to unsubscribe. You are responsible for honoring all opt-out requests immediately.
  • Prohibited Use: You will not use the Services to send spam, unsolicited marketing, or unlawful communications.
  • Liability: MetaFleet is not liable for any claims, fines, penalties, damages, or losses arising from your use of the messaging features, including but not limited to failures to obtain proper consent, violations of carrier rules, or regulatory enforcement actions.

11. Prohibited Conduct

You agree not to:

  • Violate any applicable law or regulation
  • Infringe the rights of others
  • Use the Services for any illegal purpose
  • Attempt to gain unauthorized access to the Services or systems
  • Interfere with or disrupt the Services
  • Use the Services to transmit malware or other harmful code
  • Engage in fraudulent activity
  • Scraping or reverse engineering the platform

12. Intellectual Property and Confidentiality

12.1 Ownership of Intellectual Property

All rights, title, and interest in and to the Services, including all software, algorithms, AI models, interfaces, designs, documentation, training data, and related technology (“MetaFleet IP”) are and will remain the exclusive property of MetaFleet, Inc. and its licensors. Customer acquires no ownership rights in the MetaFleet IP.

Feedback or suggestions you provide may be used freely by MetaFleet without obligation or attribution.


12.2 Limited License

During the Subscription Term, MetaFleet grants you a limited, non-exclusive, non-transferable license to use the Services solely for your internal business operations. You may not sublicense, copy, modify, decompile, reverse engineer, or create derivative works based on the Services.

12.3 Confidentiality

Each party agrees to maintain the confidentiality of non-public information received from the other party and to use such information only for purposes consistent with this Agreement. MetaFleet’s Confidential Information includes, but is not limited to, source code, pricing, system designs, and technical documentation.

12.4 Ownership of Customer Data

You retain ownership of all Customer Data submitted into the Services. MetaFleet processes such data solely to provide and improve the Services.

13. Disclaimer of Warranties

The services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

14. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall MetaFleet be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use of or inability to use the services. Our total liability for any claims shall not exceed the amount paid by you in the past 12 months.

15. Indemnification Clause

You agree to indemnify and hold harmless MetaFleet and its affiliates from any claims, damages, or expenses (including legal fees) arising out of your misuse of the Services, violation of these Terms, or breach of applicable law.

16. Termination

Subscriptions cannot be canceled for convenience mid-term. If Customer terminates early, all unpaid fees for the remainder of the Subscription Term will become immediately due and payable. Either party may terminate these Terms for cause if the other materially breaches these Terms and fails to cure such breach within 30 days of written notice. MetaFleet may also suspend or terminate Services immediately for non-payment or misuse of the Services.

17. Changes to Terms

We may modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or through the Services. Your continued use of the Services after such notification constitutes your acceptance of the modified Terms.
